By accessing or using Sharp // Terminal (the "Service"), operated by Maizetronic, LLC, a Michigan limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and Maizetronic, LLC. You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.
Sharp // Terminal is a sports analytics platform that provides users with statistical data, performance metrics, analytical tools, informational content, and community features related to professional sports leagues, including Major League Baseball ("MLB"), the National Football League ("NFL"), the National Basketball Association ("NBA"), the National Hockey League ("NHL"), and any additional leagues or sports we may add to the Service from time to time. The sports and features available on the Service may change at our discretion. The Service is available at sharpterm.com and through our mobile applications for iOS and Android; these Terms apply to your use of the Service on any platform. The Service is provided for informational and entertainment purposes only.
The Service includes, but is not limited to:
New users receive a three (3) day free trial upon account creation. Your payment method will be saved at signup but will not be charged during the trial period. After the trial period expires, your subscription will automatically convert to a paid subscription at the then-current rate of $14.99 per month unless you cancel prior to the end of the trial period.
The free trial is limited to one (1) per person and one (1) per payment method. To enforce this limit, we use fraud-prevention signals including an opaque card fingerprint supplied by our payment processor and a one-way hash of your email address. We reserve the right to deny a free trial to any returning user, any previously deleted account, or any payment method that has already been associated with a trial. If you are not eligible for a free trial, you may still subscribe at the standard monthly rate of $14.99 per month without a trial period.
For subscriptions purchased through the Apple App Store (see Section 3.8), the free trial is an introductory offer administered by Apple, and eligibility is determined by Apple (generally one introductory offer per Apple ID).
Your subscription will automatically renew on a monthly basis at the end of each billing cycle. For subscriptions purchased on our website, by creating an account and accepting these Terms you expressly authorize Maizetronic, LLC to charge your saved payment method $14.99 per month (or the rate in effect when you subscribed, if different) on a recurring basis until you cancel your subscription. Subscriptions purchased through the Apple App Store renew automatically through your Apple ID as described in Section 3.8.
You may cancel a subscription purchased on our website at any time through your Account settings page. A subscription purchased through the Apple App Store must be cancelled through your Apple ID subscription settings (Settings → Apple ID → Subscriptions on your device); it cannot be cancelled from our Account settings page. In either case, cancellation takes effect at the end of your current billing period, and you will retain access to the Service through the end of the period for which you have already been charged.
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not provide refunds or credits for any partial subscription periods, unused periods, or any other reason. This includes situations where you cancel your subscription mid-month, where you are dissatisfied with the Service, where the Service experiences downtime or technical difficulties, or where your account is suspended or terminated due to a violation of these Terms. Purchases made through the Apple App Store are additionally subject to Apple's own refund policies; any refund request for such a purchase must be directed to Apple, and refund decisions for App Store purchases are made solely by Apple.
Maizetronic, LLC reserves the right to change subscription pricing at any time. We will provide at least thirty (30) days advance notice of any price increases via email. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
You may permanently delete your account at any time from your Account settings page. Account deletion is immediate and irreversible: upon your confirmation, your profile and associated data are permanently removed, your payment information is deleted from our payment processor, and any active subscription is cancelled. There is no review period or grace period, and deleted accounts and their data cannot be recovered. As described in our Privacy Policy, we retain only a minimal set of non-identifying fraud-prevention identifiers (a one-way hash of your email address and an opaque card fingerprint, containing no raw personal information) after deletion in order to enforce the one-free-trial-per-person policy described in Section 3.1. Deletion of your account does not entitle you to any refund of fees already paid (see Section 3.4), any unused run credits are forfeited (see Section 3.7), and certain User Content may persist after deletion as described in Section 5. If your subscription is billed through the Apple App Store, deleting your account does not cancel that subscription — you must also cancel it in your Apple ID subscription settings, as we have no ability to cancel App Store subscriptions on your behalf (see Section 3.8).
Certain features of the Service (currently the parlay-construction tool) include a daily allotment of free runs and offer additional runs as prepaid "run credits." Current pricing is always displayed at the point of purchase, may differ between our website and the mobile app, and we reserve the right to change credit pricing at any time. Purchasing run credits requires an active paid subscription. On our website, credit purchases are processed by Stripe and charged to your saved payment method at the time of purchase; in our iOS app, credit packs are available as in-app purchases billed by Apple (see Section 3.8).
One credit is consumed per run after your daily free allotment is used. Run credits never expire, but they have no cash value, are non-transferable, may not be redeemed or exchanged for cash, and are usable only within the Service. ALL CREDIT PURCHASES ARE FINAL AND NON-REFUNDABLE (see Section 3.4). Unused run credits are forfeited without refund upon account deletion or upon termination of your account for violation of these Terms.
In our iOS app, the subscription and run-credit packs may be purchased using Apple's In-App Purchase system. These purchases are billed by Apple to your Apple ID at the price displayed in the App Store purchase sheet at the time of purchase, which may differ from pricing on our website. Payment is charged to your Apple ID account at confirmation of purchase (or, for a subscription with a free trial, at the end of the trial period). Subscriptions purchased this way renew automatically unless auto-renewal is turned off at least 24 hours before the end of the current period, and are managed and cancelled exclusively through your Apple ID subscription settings. We do not receive or store your payment card details for App Store purchases, we cannot modify or cancel App Store subscriptions on your behalf, and refunds for App Store purchases are handled exclusively by Apple under Apple's terms (see Section 3.4). Sections 3.4 (No Refunds), 3.6 (Account Deletion), and 3.7 (Run Credits) apply to App Store purchases except where they conflict with Apple's own policies, in which case Apple's policies control for the billing relationship between you and Apple.
In our Android app, the subscription and run-credit packs may be purchased using Google Play's billing system. These purchases are billed by Google to your Google account at the price displayed in the Google Play purchase screen at the time of purchase, which may differ from pricing on our website. Subscriptions purchased this way renew automatically unless auto-renewal is turned off in your Google Play subscription settings, and are managed and cancelled exclusively through Google Play. If Google Play offers a payment grace period, your access may continue during that period while your payment method is retried. We do not receive or store your payment card details for Google Play purchases, we cannot modify or cancel Google Play subscriptions on your behalf, and refunds for Google Play purchases are handled exclusively by Google under Google's policies. Sections 3.4 (No Refunds), 3.6 (Account Deletion), and 3.7 (Run Credits) apply to Google Play purchases except where they conflict with Google's own policies, in which case Google's policies control for the billing relationship between you and Google.
To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You may not share your account credentials with any other person. Each subscription is for a single user only. Maizetronic, LLC reserves the right to terminate accounts found to be shared among multiple users.
Notify us immediately at support@sharpterm.com if you become aware of any unauthorized use of your account.
"User Content" means any text, information, data, watchlists, or other content that you post, publish, share, or otherwise submit through the social features of the Service, including posts, comments, reposts, watchlist shares, and profile information such as your username, bio, and avatar.
You retain ownership of any User Content you submit. However, by posting User Content on the Service, you grant Maizetronic, LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and modify your User Content solely in connection with operating, providing, and improving the Service. This license ends when you delete your User Content or your account, except to the extent your content has been shared by other users (e.g., via reposts), in which case the license continues until all such copies are removed.
You are solely responsible for all User Content you post. Maizetronic, LLC does not endorse, verify, or assume any liability for User Content posted by users. By posting User Content, you represent and warrant that:

User Content posted to public profiles — including posts, comments, watchlists marked as public, and profile information — is visible to all users of the Service and, where applicable, to the general public. Do not post content you do not wish to be publicly visible.
Maizetronic, LLC has no obligation to monitor, review, or moderate User Content. However, we reserve the right — but not the obligation — to review, remove, hide, or take action on any User Content at our sole discretion and without notice, for any reason or no reason, including content we determine violates these Terms or that we find objectionable.
Maizetronic, LLC reserves the right to take the following actions at its sole discretion, with or without prior notice, and without any obligation to provide a refund:
The Service provides a reporting mechanism through which users may flag content or other users that they believe violate these Terms. Submission of a report does not guarantee any particular action will be taken. Maizetronic, LLC will review reports at its discretion and take such action as it deems appropriate.
Maizetronic, LLC shall not be liable to you or any third party for any moderation decision, including removal of content, account suspension, or account termination, regardless of whether such action was taken with or without cause. Moderation decisions are final and are not subject to appeal unless Maizetronic, LLC chooses to provide an appeal process at its sole discretion.
Maizetronic, LLC reserves the right to suspend or terminate your account immediately and without notice if you violate any provision of these Terms, including the User Content standards set forth in Section 5. Termination for violations will not entitle you to any refund of subscription fees paid.
Creating a new account or using another account to circumvent a suspension or ban is a material violation of these Terms and will result in permanent termination of all associated accounts.
This disclaimer extends to User Content. Posts, comments, watchlists, and other content shared by users on the Service do not represent endorsed advice of any kind. Maizetronic, LLC is not responsible for any User Content that purports to offer gambling advice, betting tips, or financial recommendations, and expressly disclaims any liability arising from a user's reliance on such content.
The Service is intended for use in jurisdictions where accessing sports analytics and statistical content is lawful. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
Maizetronic, LLC does not guarantee that the Service will be available at all times, uninterrupted, or error-free. The Service may experience downtime due to scheduled maintenance, unscheduled outages, technical difficulties, third-party service failures, data pipeline issues, or other causes beyond our reasonable control.
Maizetronic, LLC shall not be liable for any loss, damage, or inconvenience arising from Service unavailability, regardless of the cause or duration. No refunds, credits, or other compensation will be provided for periods of downtime.
Statistical data and other information provided through the Service are sourced from third-party providers, including professional sports leagues (such as MLB, the NFL, the NBA, and the NHL), their affiliated data services, and independent statistical, odds, and weather data providers. Maizetronic, LLC does not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed on the Service. Data may be delayed, inaccurate, incomplete, or outdated.
The Service includes AI-generated analytical summaries. These are generated automatically and may contain errors or inaccuracies. AI-generated content is provided for entertainment and informational purposes only and should not be relied upon for any important decision.
All content, features, and functionality of the Service — excluding User Content — are owned by Maizetronic, LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Service without our express written permission. Sharp // Terminal is not affiliated with, sponsored by, or endorsed by Major League Baseball, the National Football League, the National Basketball Association, the National Hockey League, or any of their respective member teams, players, or affiliated entities. All league and team names are the property of their respective owners and are used for identification purposes only.
Maizetronic, LLC respects intellectual property rights. If you believe that User Content on the Service infringes your copyright, please send a written notice to support@sharpterm.com containing the following:
Upon receipt of a valid, complete DMCA notice, Maizetronic, LLC will act expeditiously to remove or disable access to the allegedly infringing content and will notify the user who posted the content. Repeat infringers may have their accounts terminated.
If you believe your content was removed in error, you may submit a counter-notice to support@sharpterm.com with the information required under 17 U.S.C. § 512(g)(3).
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MAIZETRONIC, LLC MAKES NO WARRANTY REGARDING USER CONTENT POSTED BY OTHER USERS AND EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM YOUR RELIANCE ON SUCH CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAIZETRONIC, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING DAMAGES ARISING FROM USER CONTENT POSTED BY YOU OR OTHER USERS. IN NO EVENT SHALL MAIZETRONIC, LLC'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO MAIZETRONIC, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Maizetronic, LLC and its members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration rather than in court, except as set forth below. By agreeing to these Terms, you and Maizetronic, LLC each waive the right to a trial by jury and the right to participate in a class action lawsuit or class-wide arbitration.
Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in Michigan or by telephone/videoconference. The arbitrator's decision shall be final and binding.
You may opt out of this arbitration agreement by sending written notice to support@sharpterm.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement.
Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights. Small claims court actions are also excluded from mandatory arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
Maizetronic, LLC reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
